1. BINDING LEGAL AGREEMENT

This Terms of Service agreement ("Agreement", "Terms") is a legally binding contract between you ("User", "You", "Your") and HRExamPrepPro, its owners, operators, affiliates, and assigns (collectively "HRExamPrepPro", "We", "Us", "Our", "Service", "Platform").

BY ACCESSING, USING, REGISTERING FOR, OR PURCHASING ANY SERVICES FROM HREXAMPREPPRO, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.

If you do not agree to these Terms completely and without reservation, you must immediately cease all use of the Service and may not access any content, features, or materials.

1.1 Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and HRExamPrepPro agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

HRExamPrepPro is an independent test preparation company. We have NO affiliation, connection, endorsement, sponsorship, or official relationship with the Society for Human Resource Management (SHRM).

2.1 Trademark Acknowledgment

We claim no ownership rights in these marks. Our use of these terms is strictly for descriptive purposes to identify the examinations for which we provide preparation materials. This constitutes nominative fair use under trademark law.

2.2 Independence Statement

SHRM has not reviewed, approved, endorsed, sponsored, or authorized our content, materials, methods, or services. We have developed all content independently based on publicly available information. Any similarity to actual SHRM exam content is coincidental.

3. NO GUARANTEE OF SUCCESS - COMPREHENSIVE DISCLAIMER

WE MAKE NO GUARANTEES, REPRESENTATIONS, OR WARRANTIES THAT YOU WILL PASS ANY CERTIFICATION EXAMINATION.

Success on certification examinations depends on numerous factors entirely outside our control, including but not limited to:

  • Your individual knowledge, experience, and educational background
  • Your study habits, dedication, and time commitment
  • Your test-taking abilities and strategies
  • Your physical and mental condition on examination day
  • The specific content and difficulty of the actual examination
  • Changes in examination format or content by SHRM
  • Your compliance with all SHRM eligibility requirements

3.1 Results Disclaimer

Any testimonials, success rates, or pass rates displayed on our platform represent individual experiences and are not typical or guaranteed results. Past performance of other users does not indicate or guarantee your future results.

3.2 Eligibility Responsibility

YOU ARE SOLELY RESPONSIBLE for ensuring you meet all eligibility requirements established by SHRM for certification examinations. We do not verify eligibility, and purchasing our service does not constitute or guarantee eligibility.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Our Intellectual Property

All content on the HRExamPrepPro platform, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, software, questions, explanations, and study materials, is the exclusive property of HRExamPrepPro or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

Unauthorized use, reproduction, distribution, or modification of our content is strictly prohibited and may result in severe civil and criminal penalties.

4.2 Limited License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial study purposes only. This license does not include any right to:

  • Reproduce, duplicate, copy, download (except temporary caching), sell, resell, or exploit any portion of the Service
  • Create derivative works based on our content
  • Use data mining, robots, spiders, or similar data gathering and extraction tools
  • Reverse engineer, decompile, or disassemble any software
  • Remove, obscure, or alter any proprietary notices
  • Share login credentials or allow others to access your account
  • Use the Service for any commercial purpose or for the benefit of any third party

4.3 DMCA Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe any content infringes your copyright, please contact our designated DMCA agent with:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury
  • Your physical or electronic signature

5. USER RESPONSIBILITIES AND PROHIBITED CONDUCT

5.1 Account Security

You are fully responsible for:

  • Maintaining the strict confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use or security breach
  • Ensuring all registration information is accurate, current, and complete

5.2 Prohibited Uses

You expressly agree NOT to:

  • Share, sell, or transfer your account access to any third party
  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Violate any local, state, national, or international law or regulation
  • Infringe upon or violate our intellectual property rights or the rights of others
  • Transmit any viruses, worms, defects, Trojan horses, or destructive items
  • Use any robot, spider, scraper, or other automated means to access the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the Service or servers or networks
  • Engage in any activity that could damage, disable, or impair the Service
  • Circumvent, disable, or otherwise interfere with security features
  • Decipher, decompile, disassemble, or reverse engineer any software
  • Copy, modify, or distribute any content without explicit permission
  • Use the Service to compete with us or create a similar service
  • Collect or harvest any personally identifiable information
  • Engage in any conduct that restricts or inhibits anyone's use of the Service

6. PAYMENT TERMS

6.1 Subscription Plans and Pricing

Current subscription options include:

  • Monthly Subscription: $59 USD per month
  • Quarterly Subscription: $139 USD per 3 months
  • Annual Subscription: $495 USD per year

All prices are in U.S. dollars and exclude applicable taxes. We reserve the right to change prices at any time with 30 days' notice. Price changes will not affect existing subscriptions until renewal.

6.2 Payment Processing

Payments are processed through Stripe, Inc., a third-party payment processor. By providing payment information, you authorize recurring charges according to your subscription plan. You agree to pay all charges incurred and to maintain valid payment information.

6.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You will be charged the then-current rate for your subscription plan. We are not responsible for overdraft fees, over-limit fees, or other fees imposed by your financial institution.

7. REFUND POLICY

7.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee for first-time subscribers only. Refund requests must be submitted within 30 days of initial purchase. Refunds are processed at our sole discretion.

7.2 Refund Exclusions

Refunds will NOT be provided for:

  • Subscription renewals or subsequent purchases
  • Accounts terminated for Terms violations
  • Users who have substantially used the Service
  • Chargebacks or payment disputes filed with financial institutions
  • Free trial abuse or multiple account creation
  • Failure to pass certification examinations
  • Changes in personal circumstances or eligibility

7.3 Chargeback Warning

Filing a chargeback instead of requesting a refund through our process will result in immediate account termination, forfeiture of all access, and may result in legal action to recover costs and damages.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE AND NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE SERVICE
  • SECURITY OR VIRUS-FREE OPERATION

Some jurisdictions do not allow disclaimer of implied warranties. In such jurisdictions, the foregoing disclaimers may not apply to you.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HREXAMPREPPRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • COST OF SUBSTITUTE SERVICES
  • FAILURE TO PASS ANY EXAMINATION
  • LOSS OF CERTIFICATION ELIGIBILITY
  • CAREER OR EMPLOYMENT IMPACTS

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

These limitations apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless HRExamPrepPro, its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including attorney's fees) arising from:

  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable law or regulation
  • Your use or misuse of the Service
  • Any content you submit, post, or transmit through the Service
  • Your negligent or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully in asserting any available defenses.

11. TERMINATION

11.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings. Termination is effective at the end of your current billing period.

11.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment or payment disputes
  • Providing false or misleading information
  • Actions harmful to other users or the Service

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and all associated data. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, indemnity, and limitations of liability.

12. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware.

13. ENTIRE AGREEMENT AND SEVERABILITY

These Terms constitute the entire agreement between you and HRExamPrepPro regarding the Service and supersede all prior agreements and understandings. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Service announcement at least 30 days before taking effect. Continued use after changes constitutes acceptance of modified Terms.
